Definitions
- Company
- Idaho Pro Gear, LLC, doing business as IdahoKaraoke.
- Customer
- The person or organization named on the order, including an authorized representative booking for that organization.
- Equipment
- All rented items, including karaoke systems, speakers, microphones, mixers, stands, cables, lighting, accessories, cases, and replacement parts.
- Rental Period
- The pickup or delivery time through the return or end time shown on the order confirmation.
- Venue
- The location where the Equipment is used or stored during the Rental Period.
Reservation, Payment, and Authorization
A booking is not guaranteed until the Company confirms it and all required payments and deposits are completed. A $250 minimum applies to every booking. Events more than 50 miles from the configured Meridian dispatch origin require a $1,000 minimum; events more than 100 miles away require a $2,000 minimum. Delivery fees are separate and vary by distance as shown during booking or in the quote.
The Customer authorizes the Company to charge the payment method on file for rental fees, taxes when applicable, delivery and setup fees, late fees, missing or damaged items, cleaning, repair or replacement costs, and other unpaid amounts due under this agreement.
The Company may require a valid government-issued ID and a matching payment method at pickup or delivery.
Equipment Use, Care, and Prohibited Uses
The Customer agrees to:
- Use Equipment only for its intended purpose and follow Company instructions.
- Keep Equipment dry, clean, secure, and protected from impact or tip-over.
- Keep liquids away from electronics, microphones, speakers, receivers, laptops, tablets, and power strips.
- Prevent exposure to smoke, vaping residue, fog, or haze that may damage electronics.
- Use appropriate power, avoid overloaded circuits, and do not use damaged extension cords.
- Keep Equipment away from pools, hot tubs, sprinklers, rain, and extreme temperatures unless the Company approves the conditions in writing.
Without written permission, the Customer may not:
- Use Equipment outdoors during precipitation or heavy wind.
- Sublease, lend, or transfer possession of Equipment.
- Open, modify, repair, relabel, or remove serial numbers from Equipment.
- Use Equipment for illegal activity or in unsafe conditions.
Setup, Testing, and Customer Responsibility
The Customer must confirm that the Venue has adequate space, power, internet when required, and any necessary approvals. For delivery and setup, the Customer must provide safe, timely access and disclose parking, loading distance, stairs, gate codes, and similar conditions. Additional labor or waiting time may be charged when access is delayed or materially different from what was provided.
White-glove setup means delivery, installation, testing, and a controls walkthrough. It does not include continuous operation during the event unless the quote expressly includes that coverage.
Weddings and corporate events require a qualified on-site operator. An experienced customer-provided DJ, venue technician, or band engineer may serve as the operator; the Customer must provide that person's contact information before the event. If no qualified operator is available, Idaho Pro Gear technician coverage will be included in the quote.
The Customer must test Equipment on receipt. Missing items, non-functioning Equipment, or setup issues must be reported immediately and before the event begins so the Company has a reasonable opportunity to troubleshoot or replace them.
Song Content and Licensing
Karaoke content varies by system and service. Unless otherwise agreed in writing, the Customer is responsible for providing an adequate and reliable wireless internet connection when the song library requires one. The Customer is responsible for public-performance licenses required by the Venue or event, especially for public, ticketed, or commercial events. The Company does not guarantee a particular song, version, or key unless confirmed in writing.
Karaoke tracks are licensed recordings intended for live performance and may use re-recorded instrumentals, guide vocals, or backing vocals. They may not match original commercial or motion-picture recordings. Normal differences in voice, tone, or arrangement are not Equipment defects. The Customer accepts this content as provided for entertainment use.
Cancellation, Rescheduling, and Weather
Cancel at least 72 hours before the scheduled Rental Period start to receive an 80% refund of eligible rental and service charges. The remaining 20% is the cancellation fee. Cancellations made within 72 hours of the scheduled start are non-refundable. Any applicable security deposit is returned or released separately under Section 9.
Rescheduling is subject to availability and is not confirmed until the Company approves the revised date and terms.
Outdoor events carry additional risk. The Company may delay, refuse, suspend, or stop service when weather threatens people or Equipment. If the Customer chooses to proceed outdoors after the Company approves the conditions, the Customer remains responsible for moisture and wind damage.
Late Returns, Early Pickup, and Extensions
Equipment must be available for return or pickup by the scheduled end time. Late returns may result in additional rental charges, late fees, and collection costs. Extensions require approval before the scheduled end and remain subject to availability.
The Company may charge for additional time caused by Customer unavailability or Venue restrictions. That time extends the Rental Period and may be billed at the initial booking's undiscounted hourly-equivalent rate for all rented Equipment. If a Customer-caused delay pushes pickup unreasonably late into the night, the Company may retrieve Equipment at a reasonable time the following day.
Damage, Loss, Theft, and Cleaning
The Customer is responsible for Equipment from delivery or pickup until the Company retrieves or receives and checks it in. This includes theft, unexplained loss, accidental damage, water damage, drops, punctures, burns, electrical surges, and misuse.
Chargeable loss or damage may include:
- Missing microphones, receivers, power supplies, cables, adapters, or remotes.
- Broken microphone grilles, damaged speaker cabinets or grilles, snapped stands, or damaged connectors.
- Liquid intrusion, sticky residue, smoke residue, excessive dirt, sand, or pet hair.
- Damaged cases or missing case wheels and handles.
A cleaning or decontamination fee applies when Equipment is returned excessively dirty or requires special handling.
Security Deposit and Damage Waiver
A security deposit, when required, is not a limit on liability. The Company may apply it to damage, loss, late fees, cleaning, or other amounts due. The Customer remains responsible for costs above the deposit, and the Company may charge the payment method on file for the balance.
After Equipment is checked in, any unused deposit amount is returned or released separately from rental and service refunds. Bank or payment provider processing times may affect when the Customer sees the funds. The Company does not offer a damage waiver; the Customer remains fully responsible for Equipment during the Rental Period.
Limitation of Liability
To the fullest extent permitted by law:
- The Company is not liable for indirect, incidental, special, or consequential damages, including lost profits, loss of use, event cancellation costs, or reputational harm.
- The Company's maximum liability, if any, will not exceed the amount the Customer paid for the rental giving rise to the claim.
Indemnification
The Customer agrees to indemnify and hold harmless the Company and its owners, employees, and contractors from claims, damages, injuries, fines, and reasonable legal expenses arising from the Customer's possession, use, or misuse of Equipment, including claims by Venue guests or other third parties.
Right to Refuse Service or Terminate
The Company may refuse service or terminate a rental and retrieve Equipment when conditions are unsafe, misuse is suspected, the Customer is uncooperative, or the Venue environment endangers people or Equipment. No refund is owed when termination results from the Customer's breach of this agreement.
Governing Law and Venue
Idaho law governs this agreement. Any dispute must be brought in an appropriate state or federal court serving Ada County, Idaho, unless applicable law requires otherwise.
Entire Agreement and Contact
These terms, the order or quote, and the booking confirmation form the entire agreement. Any exception must be approved by the Company in writing. If a specific written quote or confirmation conflicts with these general terms, the more specific written term controls for that booking.
